These are the Terms of Use of NetMenu ("Terms"), the digital menu by MDC Software. They govern the use of NetMenu by the Establishment that subscribes to the service and by anyone who opens a menu published on it. By creating an account or publishing a menu, you accept these conditions.

This is a courtesy translation. The Portuguese (Brazil) version of this document is the binding text; if the two differ, the Portuguese version prevails.

1. Definitions

  • Establishment: the restaurant, bar, café or food business that subscribes to NetMenu and is responsible for the content of its menu;
  • Diner: the person who opens a published menu, usually by scanning a QR code at the table or in the window;
  • Menu: the public page the Establishment builds in NetMenu and makes available to the Diner;
  • Console: the management area where the Establishment registers products, prices and photos, and follows its reports;
  • Plan: the subscription tier chosen by the Establishment, with the limits and features published at netmenu.com.br;
  • Service: NetMenu as a whole — the Menu, the Console and the APIs behind them.

2. What NetMenu is, and what it is not

NetMenu is a digital menu: the Establishment registers its products and publishes a page the Diner opens on their own phone, with no app to install.

NetMenu is not a point-of-sale system and does not process payment for meals. When the Establishment enables ordering from the menu, the order is passed to the back-office system it has contracted — today Pagalee, also from MDC — which is what records the order and processes payment. The consumer relationship for the order is between the Diner and the Establishment.

MDC does not prepare, sell or deliver food, and is not a party to the relationship between the Establishment and the Diner.

3. Account and access

Using the Console requires an account with an email address you have access to; we require confirmation of that access before releasing it.

Credentials are personal and non-transferable. The Establishment is responsible for whom it invites into its account and for what those people do there.

Access to the Service depends on an Internet connection, which is the responsibility of the Establishment and the Diner.

4. Plans, prices and payment

The Plans, their limits and their prices are published at netmenu.com.br and prevail over any other description. Today there is a Free Plan and paid Plans (Pro and Growth), with a discount for annual subscription.

The Free Plan is free for an indefinite period, within the published limits. We may change those limits or discontinue the Free Plan with reasonable prior notice; for as long as it exists, we do not charge for it.

Paid Plans are billed on a recurring basis, in advance, for the contracted period. Monthly subscription has no lock-in and may be cancelled at any time, taking effect at the end of the period already paid for.

Price changes do not apply to a period already paid for and will be communicated in advance. In the event of non-payment, we may suspend paid features after notice, preserving the Menu within the limits of the Free Plan wherever possible.

There is no pro-rata refund for a period already started, except where the law requires one.

The content the Establishment registers — names, descriptions, prices, photos, ingredients, nutritional and allergen information — is theirs and remains theirs.

To provide the Service, the Establishment grants us a non-exclusive licence, limited to the purpose of storing, technically adapting and displaying that content on the Menu and on the channels it enables itself. The licence ends when the content is removed or the account is closed.

The Establishment declares that it holds the rights to what it publishes, including images, and is the sole party responsible for the accuracy of prices, descriptions, availability and mandatory information shown on its Menu.

6. Artificial intelligence features

The Service offers features assisted by artificial intelligence, such as translating the menu into other languages and estimating nutritional and allergen information from the registered ingredients.

These features produce suggestions, not declarations. Nothing they generate is published automatically: a suggestion stays in draft until the Establishment reviews and confirms it.

Once confirmed by the Establishment, the output of these features becomes its content, subject to section 5.

7. Allergen and Nutrition Information

The Service provides tools, including artificial intelligence, that suggest allergen and nutritional information based on the ingredients registered by the Establishment. These suggestions are estimates and are only displayed to the public after review and confirmation by the Establishment.

The Establishment is solely responsible for the accuracy, currency and completeness of the ingredient, allergen and nutrition information shown on its menu, and for compliance with applicable food-safety and consumer-protection laws. MDC does not warrant the accuracy of the generated estimates and is not liable for damages arising from incorrect, incomplete or outdated information provided or confirmed by the Establishment.

8. The Diner and the public menu

The Menu is a public page. By opening it, the Diner accepts these Terms in the part that concerns them, without needing to create an account.

The information shown on the Menu is the responsibility of the Establishment. Questions about dishes, prices, availability, allergens or orders should be taken up directly with them.

The Diner may not extract the Menu by automated means, reproduce it as their own, or use it for purposes other than consulting that establishment.

9. Integrations and third-party services

The Service integrates with third-party systems chosen by the Establishment — back office and payments (such as Pagalee), partner catalogues that synchronise products, and the infrastructure services described in our Privacy Policy.

When the Establishment authorises an integration, it also authorises the data exchange needed for it to work. We are not answerable for the availability, content or practices of those third parties.

10. Acceptable use

The Service may not be used to publish unlawful or misleading content, content that infringes third-party rights, or to advertise products whose sale requires an authorisation the Establishment does not hold.

It is likewise prohibited to circumvent Plan limits, overload the platform, access another Establishment's data, or use the Service to send unsolicited communications.

11. Availability and changes to the Service

We work to keep the Service available, but it is provided without a guarantee of uninterrupted availability. Interruptions may occur for maintenance, through third-party failure, or for causes beyond our control.

We may change, add to or discontinue features. Where a change materially reduces a feature of a paid Plan, we will give prior notice.

We may change these Terms. The version in force is always the one published on this page, with the update date at the end; continued use after a change means acceptance.

12. Suspension, cancellation and termination

The Establishment may cancel whenever it wishes, through the Console or the support channels.

We may suspend or terminate access in the event of a breach of these Terms, of non-payment, or of use that threatens the security of the platform or of third parties — with notice wherever possible, and immediately where the risk requires it.

Once the account is closed, the Menu is no longer displayed. The Establishment may request its data before closure; after the period stated in the Privacy Policy, the data is deleted or anonymised.

13. Intellectual property

NetMenu, its brand, its software, its interface and its documentation belong to MDC Software. Nothing in these Terms transfers those rights to the Establishment, which receives only the right to use the Service while the subscription is in force.

Menu content remains the Establishment's, as set out in section 5.

14. Privacy and data protection

The processing of personal data is described in our Privacy Policy, which forms part of these Terms.

In relation to menu data and Diners' browsing data, the Establishment acts as controller and MDC as processor, processing that data in accordance with the Establishment's instructions and applicable law.

Each Party shall protect the other's confidential information against unauthorised use, access or disclosure.

15. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose.

We do not warrant that the Service will meet an Establishment's specific regulatory obligations; meeting them is its responsibility.

16. Limitation of liability

To the fullest extent permitted by law, neither party shall be liable to the other for indirect, incidental, special, exemplary, consequential or punitive damages, nor for lost profits.

MDC's total liability arising from these Terms is limited to the amount actually paid by the Establishment for the Service in the 12 months preceding the event giving rise to the liability. Nothing in this section excludes liabilities the law does not allow to be limited, including towards consumers.

17. Governing law and jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil.

The courts of the Establishment's domicile are chosen to settle disputes, where the law permits such a choice.
